Why founders use a Cyprus holding company.

These are the rules from 2026. Whether they suit your group is a question for a licensed tax adviser, so ask one before you incorporate.

  • Dividends in, generally exempt

Dividends the holding company receives are generally exempt from corporate income tax. The special defence contribution (SDC) can still apply to dividends from mostly passive, low-taxed companies. Have your adviser check each subsidiary.
  • Nothing withheld for shareholders abroad

Cyprus withholds no tax on dividends paid to shareholders who aren't Cyprus tax resident. What they pay after that depends on the country they live in.
  • What Cyprus residents pay

Residents domiciled in Cyprus pay 5% SDC on dividends from profits made in 2026 or later. Non-doms pay no SDC for up to 17 years, only the 2.65% GeSY health contribution on income up to €180,000 a year.
  • One company at the top

Several shareholders, or several businesses, can sit under one holding company. Later you can sell one business without unpicking the rest of the group.

Run from Cyprus, with the records to show it.

Since 2026 a company incorporated in Cyprus is tax resident here by default. Other countries' tax authorities still ask where it's really run, and the records have to answer.

  • Board meetings in Cyprus, where the directors make the decisions
  • Its own address, bank account and contracts
  • Books and minutes that record all of it

We keep the books. Where the board meets and decides is yours to settle with your adviser.

How it works.

Your part is the call and the structure. The incorporation and the yearly work are ours.

  1. Day 1

    Talk it through

A 30-minute call about who owns what, which companies sit underneath and where the directors are.

  2. Settle the structure

Agree the structure with your tax adviser before we file. We don't design structures, because that's tax advice.

  3. We do this

    We incorporate the company

We get the name approved and file the incorporation with the Registrar. Then we record the beneficial owners and set the company up for tax.

  4. From your orderWe do this

    Books kept all year

The books open in Sumly the day you order. We record investments, dividends received and balances between group companies through the year.

  5. Year-endPartner Auditor

    Audit or review

A licensed Partner Auditor audits the year-end accounts, or reviews them if the company qualifies.

  6. Every yearWe do this

    Returns filed

We prepare and file the corporate income tax return and the annual return with the Registrar.

Every company in one login.

The holding company opens in the same Sumly login as your trading companies. Each one keeps its own books and its own deadline calendar.

  • Accounts for investments in subsidiaries and dividend income
  • Foreign currency at the day's exchange rate
  • Invite your auditor with their own login
  • Receipts scanned in the Sumly app for iPhone and Android go to the company you pick

A trading company in the same login has its own Sumly plan, from €39 a month.

An ordinary Cyprus limited company that mainly owns shares in other companies instead of trading. There's no separate legal form and no licence. It has the same Registrar, the same Companies Law and the same accounting and audit duties as any other company.

€2,000 a year covers the incorporation, the books, the audit or review, the corporate income tax return and the annual return to the Registrar. There's no setup fee. Government fees are charged at cost, on top of our fee, once your application is approved.

Most founders with one business in one country don't. A second company means a second set of books, a second tax return, a second audit or review and a second annual return, every year. A holding company starts to make sense with several subsidiaries, several shareholders, or a plan to sell part of the group. That call belongs to a tax adviser who can see your whole picture.

No. Designing a group structure is tax advice. It should come from a licensed Cyprus tax adviser who knows your shareholders, the countries involved and your plans. Once the structure is agreed, we incorporate the company and run its yearly work.

Generally no. Article 8(20) of the Income Tax Law exempts dividend income from corporate income tax. SDC can still apply to dividends from mostly passive, low-taxed companies, depending on the paying company's tax position in its own country. Have a Cyprus tax adviser confirm that your subsidiaries qualify.

Cyprus withholds nothing from shareholders who aren't Cyprus tax resident. Domiciled residents pay 5% SDC on profits from 2026 on, and 17% on older profits paid out before the end of 2031. Non-doms pay no SDC for up to 17 years, only the 2.65% GeSY health contribution on income up to €180,000 a year, which the company withholds.

Yes. Every Cyprus company submits its financial statements to a licensed auditor. A small private company may use a lighter review instead, if its turnover and assets stay under the limits for two years in a row. Dividends count towards that turnover, and a parent that prepares consolidated accounts can't use the review. The package includes whichever one applies, and your Partner Auditor confirms which.

No, it covers the holding company. A trading company can run on its own Sumly plan, from €39 a month. It sits in the same login, with its own books.

You get a full refund. Every incorporation we file comes with a 100% approval guarantee.
