Your company can have accurate accounts and still have an unfinished UBO filing. The beneficial ownership register answers a different question from the accounts: who ultimately owns or controls the business? The common mistake is assuming that incorporation, a share transfer or the annual return automatically completes every register update.
For a straightforward owner-managed company, the work starts with matching the recorded people and their details to reality. For a company owned through another company, start with the ownership chain. Do that before opening the form.
What does the UBO register record?
The register concerns ultimate beneficial ownership. A corporate shareholder can be one step in the chain rather than the final answer. The Registrar publishes its guidance on identifying beneficial owners and reporting their details. Use that guidance when ownership or control is shared, indirect or exercised through an agreement.
Prepare an ownership diagram showing the company, each shareholder and the people behind any corporate shareholder. Beside it, keep the current register of members, relevant agreements and the personal details needed for the filing. This is a working file for checking accuracy, not a claim that every document must be uploaded.
The Registrar's filing FAQ says the electronic form requires the relevant fields rather than document uploads, and that filing itself carries no fee. A provider's professional fee is a separate matter.

The Registrar's penalties FAQ refers to the 90-day initial filing timeframe. Do not treat that as permission to postpone a later ownership change or the annual confirmation. They are separate obligations with their own requirements.
The HE32 annual return is also separate. Put both tasks on the company calendar, with a named person responsible for each.
When is annual UBO confirmation due?
The Registrar specifies 1 October to 31 December of each calendar year as the confirmation period. For the 2026 cycle, check and confirm the 2026 record during that window, even if nothing changed.
If you make an initial filing or amendment during that period, the Registrar says to complete that action first and then confirm. It also says that a further change after confirmation does not require repeating the same year's confirmation. The change itself still needs attention.
An internal reminder should arrive before the window closes. Leave time to resolve access problems or an ownership discrepancy, rather than discovering either on the last afternoon of December.
How do you complete the confirmation?
The published instructions take you through CYLogin, the company record and the beneficial owners tab. Choose the confirmation action for the relevant year. Check the displayed information, correct it first if necessary, and complete final submission.
The official example still illustrates an earlier year, with a note to select the year being confirmed. Follow the current year's option in the system rather than copying the example's year literally.
Save the acknowledgement, the date and the identity of the person who filed. A folder called "UBO 2026" containing only an unfinished worksheet does not prove the filing happened. The Registrar confirms that successful submission produces an acknowledgement.
What can go wrong?
The published non-compliance penalty is €100 plus €50 for each continuing day, capped at €5,000. The same guidance addresses responsibility of directors and managers and a due-diligence exception. Treat access and record checks as a company responsibility even when someone else files for you.
Practical errors are often less dramatic than concealed ownership: an old address, a share transfer nobody passed to the filing provider, or a draft mistaken for a completed submission. Assign the work in writing. Ask the person handling it to return the acknowledgement, not merely to say that the details look correct.

Does filing the HE32 complete UBO confirmation?
No. The HE32 annual return and beneficial ownership confirmation are separate actions. Keep evidence that each required filing was completed.
Does the UBO system charge a filing fee?
The Registrar says there is no filing fee for submitting beneficial owner data. Any fee for a provider to review or submit the information is separate.
